We may receive information from professional networks (e.g., LinkedIn), referral sources, background-check providers (with consent where required), analytics providers, and our clients in connection with staffing engagements.

  • Clients and candidates — to facilitate staffing matches and engagements (e.g., sharing candidate profiles with prospective clients with the candidate’s awareness).

Welcome to Andespath.com (“Andespath,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your access to and use of our website, software development services, and staffing services (collectively, the “Services”). By using the Services, you agree to these Terms. If you do not agree, please do not use the Services.

1. About Us

Andespath provides software development and technical staffing services to businesses worldwide. The specific scope, deliverables, fees, and timelines for any engagement will be set out in a separate written agreement, statement of work, or order form (“Service Agreement”). In the event of any conflict between these Terms and a Service Agreement, the Service Agreement controls.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services. By using the Services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

3. Use of the Website

You agree to use the website only for lawful purposes. You will not:

  • Attempt to gain unauthorized access to any part of the Services or related systems.
  • Interfere with or disrupt the Services or servers.
  • Use the Services to transmit malware, spam, or unlawful content.
  • Reverse engineer, scrape, or copy any part of the Services except as expressly permitted.
  • Misrepresent your identity or affiliation with any person or organization.

We may suspend or terminate your access at any time for any violation of these Terms.

4. Services

Software development. We provide custom software design, development, integration, maintenance, and related professional services as agreed in a Service Agreement.

Staffing. We provide technical staff augmentation and placement services. Unless otherwise stated in a Service Agreement, personnel placed through Andespath remain our contractors or employees and are not employees of the client.

No guarantee of results. While we use commercially reasonable efforts, we do not guarantee specific business outcomes, performance metrics, or hiring results.

5. Fees and Payment

Fees, billing frequency, and payment terms are specified in the applicable Service Agreement. Unless stated otherwise, invoices are due within thirty (30) days of the invoice date. Overdue amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. You are responsible for all applicable taxes other than taxes on our net income.

6. Intellectual Property

Our IP. The website, our pre-existing tools, methodologies, templates, frameworks, and know-how remain our exclusive property. Nothing in these Terms transfers ownership of our intellectual property to you.

Client deliverables. Ownership of work product specifically created for a client under a Service Agreement is governed by that Service Agreement. Absent a written assignment, all rights in deliverables remain with Andespath.

Feedback. Any feedback you provide about the Services may be used by us without restriction or compensation.

7. Confidentiality

Each party agrees to protect the other’s non-public information disclosed during the engagement with the same care it uses for its own confidential information (and no less than reasonable care), and to use such information only to perform under these Terms or a Service Agreement.

8. Third-Party Services

The Services may link to or integrate with third-party tools, platforms, or websites. We are not responsible for the availability, content, or practices of any third party. Your use of third-party services is at your own risk and subject to their terms.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANDESPATH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO ANDESPATH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) USD 100.

11. Indemnification

You agree to indemnify and hold harmless Andespath and its officers, employees, contractors, and agents from any claims, damages, or expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice. Provisions that by their nature should survive termination (including Sections 6, 7, 9, 10, and 11) will survive.

13. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new effective date. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which Andespath is established, without regard to its conflict-of-laws principles. The parties will first attempt to resolve any dispute through good-faith negotiation. If unresolved, disputes will be submitted to binding arbitration or to the competent courts of Andespath’s principal place of business, at Andespath’s election.

15. Miscellaneous

These Terms, together with any applicable Service Agreement, are the entire agreement between the parties regarding the Services. If any provision is held unenforceable, the remaining provisions will continue in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our prior written consent.
